Terms of Service

These Terms of Service ("Terms") constitute a legally binding agreement between you and North Ledger Financial Inc. ("North Ledger"). Please read them carefully before engaging our services.

1. Engagement & Services

These Terms of Service govern your use of North Ledger's bookkeeping, payroll, and financial reporting services. By engaging North Ledger Financial Inc., you agree to these terms. Our services are provided as described in your specific engagement agreement or service order. The scope, pricing, and deliverables for your engagement are documented in a separate Service Agreement signed by both parties. In the event of any conflict between these Terms and your Service Agreement, the Service Agreement governs.

2. Client Responsibilities

To enable us to provide accurate and timely services, you agree to: — Provide read-only or required access to your bank accounts, credit cards, and financial platforms in a timely manner — Deliver source documents (receipts, invoices, bank statements) as requested within the agreed timeframe — Review and respond to our questions or clarification requests within 5 business days — Notify us promptly of any significant business changes (new entities, jurisdictions, significant revenue changes) — Provide accurate and complete information relevant to your business finances Delays caused by late document delivery or failure to respond may result in delayed deliverables and are not the responsibility of North Ledger.

3. Fees & Payment

A one-time onboarding fee of $149 USD / $199 CAD is charged to all new engagements. This fee covers initial account setup, QuickBooks or Xero configuration, chart of accounts build-out, and opening balance reconciliation. It is invoiced alongside your first month's service and is non-refundable once onboarding has commenced. Ongoing monthly fees are billed in advance on the first business day of each month. Payment is due within 10 days of invoice. We accept payment by bank transfer (EFT/ACH) or credit card. Late payments are subject to interest at 1.5% per month (18% per annum). We reserve the right to suspend services for accounts more than 30 days past due. Pricing is subject to annual review with 30 days' written notice of any changes. All fees are exclusive of applicable taxes (GST/HST for Canadian clients).

4. Confidentiality

Both parties agree to maintain the confidentiality of all non-public information exchanged during the engagement. North Ledger will not disclose your financial information to any third party except: (a) as required by law or regulatory authority, (b) to service providers bound by equivalent confidentiality obligations, or (c) with your written consent. This obligation survives termination of the engagement for a period of five (5) years.

5. Accuracy & Limitations

North Ledger provides bookkeeping and financial reporting services. Our services do not constitute tax advice, legal advice, or audit services. Financial statements prepared by North Ledger are for management reporting purposes and have not been audited or reviewed by a public accountant. We rely on the accuracy and completeness of information provided by you. We are not liable for errors or omissions resulting from inaccurate or incomplete information provided by the client.

6. Limitation of Liability

To the fullest extent permitted by applicable law, North Ledger's total liability to you for any claim arising out of or related to these Terms or our services shall not exceed the total fees paid by you to North Ledger in the three (3) months preceding the claim. In no event shall North Ledger be liable for any indirect, incidental, special, consequential, or punitive damages, including lost profits or business interruption.

7. Term & Termination

Engagements run on a month-to-month basis unless a fixed term is specified in your Service Agreement. Either party may terminate with 30 days' written notice. Upon termination, all outstanding fees become immediately due, and we will deliver all client-owned financial data within 15 business days. We may terminate immediately for non-payment or material breach of these Terms.

8. Intellectual Property

All work product, reports, and deliverables created specifically for your engagement become your property upon full payment of fees. Our proprietary templates, processes, and methodologies remain the intellectual property of North Ledger.

9. Governing Law

These Terms are governed by the laws of the Province of Ontario and the federal laws of Canada applicable therein. Any disputes shall be resolved in the courts of Ontario, Canada.
